Comcast Corporation is the largest cable company, home Internet service provider and the third largest home telephone service provider in the United States by revenue, it is also the largest mass media and communications company in the world
On 28 January 2011, Comcast Corporation succeeded in acquiring NBC Universal Inc which was previously managed by General Electric Company (GE) which is an American multinational conglomerate corporation.NBC Universal, ,Inc was formed in may 2004 when it decided to merge with Vivendi Universal Entertainment which was a leading media conglomerate in the entertainment industry. NBCU has a large and leading networks, it is diverse and includes universal pictures, Universal studios and Illumination Entertainment. Before Comcast bought 51% of NBCU, 80% was owned by GE and 20% owned by Vivendi Universal. NBC Universal is the best piece of the media eco system
In December 2009, Comcast announced its intent to acquire a majority stake in the media conglomerate NBC Universal from General Electronic. “our decision to acquire GE’s ownership is driven by our sense of optimism for the future prospects of NBC universals and our desire to capture future value that we hope to create for our shareholders” says Comcast CEO Brian Roberts( 2009): The planned acquisition was scrutinized by activists and government officials; their concerns primarily was the potential effects of the vertical integration that the acquisition could create, as Comcast is also greatly involved in cable television and internet services in a vast amount of the media markets.
By the acquisition, Comcast was clearly investing in content; this is a huge transformation for Comcast. This acquisition signals that they want to get bigger in content and want to increase their investments in the cable network business. For NBC Universal the cable network is the biggest, for them it is the “crown jewel”.
Comcast has invested a lot in their broadband business and have been emphasizing the broadband side of the company which is a very high margin business. Comcast was confident that they could marry their content with their distribution and really drive free cash load and share holder value.
Through the acquisition of the company, Comcast owned 33 million cable subscribers and nearly as many broadband users. This expansion in the U S has greater implications for the future of media and communications; it would give it greater control of lines known as the “last mile” into homes and businesses, infrastructure that has increasingly become like a utility for consumers who look to the Web for entertainment, education and communications.
The effect for Comcast in this acquisition is very positive; with NBC Universal they can control video content, influence the TV business and internet business as well. As we know, “content is king”.
