ABC Corporation is a publicly-traded company (NASDAQ). The company engaged in the business of search engine optimization (SEO) by providing measurement and consulting services. The services are to improved companies with visibility and “rankings” on major search engines such as Google. Johnnie is the founder, the CEO, and the Chairman of the Board of Directors of ABC. However, there were numerous conflicts within the business. Therefore, as a consulting firm that has been employed by the ABC Board of Directors, we are going to see whether Johnnie, Tommy, and Estee violated the ABC Handbook on the following misconducts such as conflict of interest, lying, sexual harassment, and improper use of the company network.
The report that we obtained from the ABC Boards mentioned that Johnnie’s wife is a majority shareholder in DEF. DEF Corporation is a privately-held company, and the company is one of ABC major technology vendors/suppliers. In that situation, it is the best interest for Johnnie to reveal this material fact to the ABC Boards. If he does not reveal this material fact, he is violating the ABC Handbook on conflict of interest. According to ABC Handbook, “conflict of interest occurs when you are in a situation in which competing loyalties could cause you to pursue a personal benefit for you, your friends or your family.” In this case, Johnnie has violated the ABC Handbook on conflict of interest by not revealing this material fact to the ABC Boards. Thus, the ABC Boards should notify Johnnie that he should plead guilty, and he should leave his position.
In Addition, we noticed in the report that Tommy, Chief Operating Officer at ABC, knows about Johnnie’s wife being a majority shareholder in DEF. As an officer at ABC, Tommy should reveal this material fact to DEF. However, Tommy did not disclose this material fact to DEF because Johnnie is Tommy boss, so he is afraid of getting fired by Johnnie. So, we decided to use Kantian vs. Utilitarian to see whether tommy should disclose this information to DEF. First, the idea behind the Kantian approach is that every human being has an inherent worth because humans have worth in and out of themselves. Nonetheless, the Kantian approach depended on the categorical imperative. The Categorical imperative says “one ought to act such that the principle of one’s act could become a universal law.” In essence, “you should not do to others as you want them to do onto you.” The Kantian approach says human beings should not be used as a means to an end. For example, Tommy knows about the material fact that Johnnie’s wife but he is afraid to get terminated if tommy revealed this material fact to DEF. Hence, it is unethical for Johnnie to terminate Tommy if he disclosed the material fact that Johnnie’s wife being a majority shareholder in DEF because he possesses the ability to do so. Therefore, it is tommy rights and duties as an officer to disclose material fact to DEF.
